Mac Irvin
Director of Structured Finance, SunPower Corporation

Mac Irvin directs the structured finance activities supporting SunPower’s sales efforts worldwide. In 2007, he oversaw the financing of more than 100 megawatts in solar power projects in the US andEurope. He was also instrumental in arranging a $190 million project finance facility with MorganStanley to finance upcoming SunPower installations, and a similar bundled financing package withGE Energy Financial Services to finance five solar installations in California, totaling approximately 8 megawatts.Prior to joining SunPower in early 2007, Irvin served as chief financial officer for BPL Global, a provider of broadband and smart grid networks over electrical power lines. He spent seven years as a managing director with GATX Capital, responsible for large-ticket lease assets and portfolio management in North America, the UK, and Australia / New Zealand. Irvin worked 10 years in operations and corporate development with RailTex, a three-time “Inc. 500” company in the feeder railroad industry, and began his career in the executive training program of the Southern Pacific Transportation company. Irvin holds an A.B. from Stanford and an MBA from the University of Texas at Austin.

 

 
 

William Lee
Vice President, Project Finance and Corporate Development, Sun Edison, LLC

William Lee is Vice President, Project Finance and Corporate Development, at Sun Edison LLC. In that capacity, he leads SunEdison's global project financing and corporate development activities and originates, negotiates, structures and executes various types of financial and strategic transactions in these areas. Prior to SunEdison, he worked at the Massachusetts Green Energy Fund, a private venture capital firm that invests in clean and renewable energy technologies. Additionally, Lee worked as an investment banker at Salomon Smith Barney (no Citigroup Global Markets), where he was involved in M&A and capital markets transactions with the global energy sector. He also was a principal investor at Golub Capital, a private equity and mezzanine debt investment firm. Lee holds an A.B. in Government from Harvard College, and received an M.B.A. from the Harvard Business School.

Robert Feldman – Moderator
Counsel, Andrews Kurth L.L.P.

Roger Feldman is counsel in the Washington, DC office of Andrews Kurth L.L.P. His practice focuses on the project and corporate finance of all types of energy, environmental, and infrastructure projects, with a particular current emphasis on the renewable and clean tech fields. In that regard, he also advises on the impact of regulatory issues, public affairs matters, and public/private partnerships. Clients include project developers, financial institutions, purchasers and sellers of corporate assets, clean tech companies, and parties to public-private partnerships. Feldman has senior responsibility with respect to many of the firm’s clean and renewable energies activities and projects. These have included development of renewable resources (biofuels, biomass, wind, solar, and waste-to-energy), alternative energy sources (coal gasification, CTL), and representation of greenhouse gas matters (carbon credit origination, aggregation, and trading). He also represents energy and environmental companies in obtaining Federal financing assistance and guarantees.

 

 
 

Alan Bickerstaff
Andrews Kurth, L.L.P.

Alan Bickerstaff is a Corporate/Securities partner and a member of the Technology and Emerging Companies group in the Austin office of Andrews Kurth L.L.P. Bickerstaff has been representing entrepreneurs and startup companies since 1999. He joined the firm from Wilson Sonsini Goodrich & Rosati. Bickerstaff represents venture capital and private equity firms, investment banks, and public and private technology and emerging growth companies in many areas, including formation, operating and corporate governance matters, securities law reporting and compliance matters, private equity and venture capital financings, public offerings and mergers and acquisitions. He represents companies in a wide variety of industries, including energy, energy technology and renewable energy, life sciences, semiconductor, software, internet and telecommunications.

 

 
 

Russell Martin
Executive Vice President, Blue Source

Following a career steeped in CO2 project development, Russell Martin joined Blue Source as
Executive Vice President running the Company’s Houston office. From 1980 to 1987, Martin worked for Dresser Industries in a number of accounting positions before accepting a position with Enron Corp. in late 1987. In late 1996, he joined Shell Oil Company as Manager of their CO2 marketing team. Martin led the effort to form Shell CO2 Co. in 1998 and was named Vice President of Business Development of the joint venture between Shell and Kinder Morgan, which acquired Shell CO2 Co. in 2000 where he continued as the vice president of business development. Martin lives in Houston, where he heads the Blue Source office, and is married to Lynne and has two grown children.

 

 
 

Randall N. Lack,
Managing Director, Element Markets LLC

Randall Lack has been a successful entrepreneur within the emissions and alternative energy industry for almost a decade. In 2004, he helped found Element Markets LLC, a leading carbon management and alternative energy company, and currently serves as a Managing Director. Since founding Element Markets, Lack has assisted in the development of several alternative energy projects and Greenhouse Gas Reduction Projects, including Biomass, Wind and Landfill Gas Projects. Lack’s has extensive knowledge of structuring transactions spanning seventeen emissions trading regions and covering seven emissions commodies. In addition, Randall has experience in extensive experience in transacting for Renewable Energy Credit and Carbon Allowances in North America. Lack is an acclaimed speaker and media resource for Renewable Energy Credits, Greenhouse Gas Trading, pending emissions legislation, and Regional Emission Markets. He has developed regional emissions, renewable energy, and Greenhouse Gas portfolios for a wide-range of clients, from municipalities to Fortune 500 Corporations. Lack received his B.S., magna cum laude, from the University of Houston.

Steve McMillen – Moderator
Special Counsel, Baker Botts L.L.P.

Steve McMillen maintains a multifaceted environmental practice, counseling clients in the areas of climate and carbon markets strategy and project development analysis; contaminated property issues such as remediation and closure under federal and state laws; RCRA regulatory compliance; state and federal release and spill reporting and enforcement; administrative hearings, rulemaking, and advocacy; and environmental litigation. He has wide experience with environmental issues in corporate and real estate transactions such as risk evaluation, limiting liability, and permit transfer. McMillen is a memberof Baker Botts' global climate practice group.

 

 
 

Patrick Basinski
Associate, Baker Botts L.L.P.

Patrick Basinski is a corporate attorney with Baker Botts L.L.P. in Austin. Basinski’s practice is focused on technology companies, including cleantech and renewable energy clients, whom he advises on general corporate and securities matters, mergers and acquisitions and commercial transactions. He regularly represents companies in connection with licensing, outsourcing, distribution and other commercial agreements. He also advises clients in connection with significant corporate transactions including private equity and debt financings, strategic alliances, joint development arrangements, and mergers and acquisitions. Basinski graduated with honors from the University of Texas School of Law, where he was a member of the Texas Law Review. Tristan Castañeda, Jr.

Tristan "Tris" Castañeda, Jr. has over fourteen years of experience in local and state governmental relations including the legislative process, the municipal ordinance process, campaign management, and public policy development. After 6 years of independent lobby practice, Castañeda was recruited to join the Legislative and Government Affairs practice of Baker Botts L.L.P. in 2002. Castañeda is responsible for all aspects of state government advocacy including strategic thinking and conceptual development, legislative drafting, preparation of testimony, appearances before legislative committees, direct advocacy before staff and state officials, working with or developing coalitions with shared goals, and designing client strategies and activities for the long term development and maintenance of personal relationships with state lawmakers and agency officials. Luke Pedersen
Partner, Baker Botts L.L.P.

Luke Pedersen's practice includes all aspects of intellectual property law, with a particular emphasis on technology transfers, licensing, patent prosecution, and litigation involving complex and emerging technologies. Pedersen has drafted and negotiated various M&A, licensing and technology transfer agreements dealing with the ownership of rights in and to intellectual property. He has also drafted and/or prosecuted hundreds of patent applications related to a diverse range of technologies, including software, telecommunications, Internet infrastructure, and energy production and distribution. Pedersen's litigation experience includes controversies related to misappropriation of trade secrets, patent infringement, and breach of agreements governing intellectual property assets.
